These Terms & Conditions (“Terms”) govern your access to and use of www.dermalucilab.com and any purchase made directly through the Website.

Please read these Terms carefully before placing an order. By submitting an order, you confirm that you have read and accepted the Terms and Policies made available to you before checkout.

Nothing in these Terms excludes, restricts or overrides any mandatory consumer right that cannot lawfully be waived or limited.

Galbraith Teck LLC is the seller and contractual party for purchases made directly through the Website.

Dr. Dermaluci Lab is the brand and trading name under which the Products are marketed and sold. 

The registered business address above is provided for legal and business correspondence. It is not a customer return warehouse.

Products must not be returned to this address unless Customer Care expressly instructs you to do so. The appropriate return destination will be provided in accordance with the Returns, Refunds & Exchanges Policy.


2. SCOPE OF THESE TERMS

These Terms apply to:

·      access to and use of the Website;

·      orders placed directly through the Website;

·      customer accounts;

·      customer reviews and content submitted through the Website;

·      communications and services connected with an order.

Purchases made from another retailer, distributor, marketplace or third-party seller are governed by the contract and policies applicable to that seller.

The following policies also form part of the contractual framework applicable to purchases made through the Website:

·      Returns, Refunds & Exchanges Policy;

·      Shipping & Delivery Policy;

·      Privacy Policy;

·      Cookie Policy;

·      any Product-specific conditions presented before purchase;

·      any promotion-specific conditions presented before purchase.

Where additional conditions apply to a promotion, campaign, competition or other special offer, those conditions will apply to that activity together with these Terms.

If any provision conflicts with a mandatory consumer right that cannot lawfully be excluded, the mandatory consumer right will prevail.


3. ELIGIBILITY AND PERSONAL USE

To place an order, you must:

·      have the legal capacity to enter into a binding contract;

·      place the order for a lawful purpose.

Products sold through the Website are intended primarily for personal and household use.

Unless Dr. Dermaluci Lab has given prior written authorisation, Products may not be purchased for:

·      commercial resale;

·      unauthorised distribution;

·      relabelling or repackaging;

·      sale through another website or marketplace;

·      incorporation into another commercial product;

·      misleading promotional activities;

·      unlawful export or distribution.

We may apply reasonable quantity limits or decline an order before acceptance where objective circumstances indicate suspected fraud, promotion abuse, unauthorised resale, commercial diversion or another material misuse of the Website.

Any such decision will be based on the circumstances of the order and will not affect mandatory rights connected with an order that has already been validly accepted.


4. PRODUCT INFORMATION

We take reasonable steps to ensure that Product descriptions, photographs, quantities, ingredients, prices and other information displayed on the Website are accurate.

The contents and principal characteristics of a Product are determined by:

·      the relevant Product page;

·      the Product variant selected;

·      the written “What is included” or equivalent information;

·      the Product packaging and labelling.

Product photographs may include styling, decorative objects or contextual elements that are not included in the purchase.

Where several items appear in an image, the written Product description determines what is included in the order.

Minor differences may occur because:

·      colours may appear differently depending on the screen or device;

·      packaging or labels may be updated;

·      natural ingredients may produce minor variations in colour, texture or appearance;

·      the apparent size of a Product in an image may differ from its actual dimensions;

·      packaging may be adapted to regulatory or language requirements.

Packaging or design updates will not materially reduce the quantity, essential characteristics, quality or legal conformity of the Product supplied.

If the Product received is materially different from the Product ordered or its description, contact Customer Care in accordance with the Returns, Refunds & Exchanges Policy.


5. INGREDIENTS, FORMULAS AND PRODUCT USE

Current ingredient information is displayed on the relevant Product page where available and on the Product packaging.

Cosmetic formulas and ingredient lists may be updated where reasonably necessary for:

·      regulatory compliance;

·      Product safety;

·      Product improvement;

·      ingredient availability;

·      manufacturing requirements.

The ingredient list printed on the packaging of the Product delivered applies to that specific Product or production batch.

You should review the Product label and ingredient list before use, particularly if you have known allergies, sensitivities or medical concerns.

Do not use a Product if you know that you are allergic or hypersensitive to an ingredient it contains.

If you identify a material discrepancy between the ingredient information displayed on the Website and the Product received, contact Customer Care before using the Product.

Dr. Dermaluci Lab Products are cosmetic and personal-care Products intended for external use unless the Product label expressly states otherwise.

They are not medicinal products and are not intended to diagnose, treat, cure or prevent any disease or medical condition.

Information provided through the Website, Product pages, emails, social media, articles, tutorials, ingredient descriptions, reviews or promotional materials is provided for Product information and general educational purposes. It does not replace advice, diagnosis or treatment from a qualified healthcare professional.

You are responsible for:

·      reading and following the Product instructions;

·      observing warnings and contraindications;

·      using the Product only for its intended purpose;

·      carrying out a patch test where recommended;

·      storing the Product as instructed;

·      keeping the Product away from children where required;

·      discontinuing use if a significant or unexpected reaction occurs.

Nothing in this section permits Dr. Dermaluci Lab to supply a Product that is unsafe, incorrectly labelled, defective or materially non-conforming.


6. INDIVIDUAL RESULTS

Cosmetic results may vary between individuals.

Results may be influenced by factors including:

·      skin type and condition;

·      body characteristics;

·      application method;

·      frequency and consistency of use;

·      adherence to the recommended protocol;

·      use of other Products;

·      individual sensitivity;

·      lifestyle factors.

Treatment timeframes, Product protocols, customer experiences and before-and-after materials communicate intended, expected or observed Product use but do not guarantee that every customer will obtain identical results.

This section does not limit or exclude:

·      the Dr. Dermaluci Lab 70-Day Money-Back Guarantee;

·      any express Product commitment;

·      the statutory right of withdrawal;

·      the legal guarantee of conformity;

·      rights relating to misleading Product information;

·      any other mandatory consumer right.


7. PLACING AN ORDER

To place an order, you must:

1.        select the Product, variant and quantity;

2.        provide the requested billing, delivery and contact information;

3.        select an available delivery method;

4.        select an available payment method;

5.        review the order details and total price;

6.        accept the applicable Terms and Policies;

7.        submit the order using the checkout button confirming the obligation to pay.

Before submitting the order, you are responsible for checking:

·      the Product selected;

·      the variant selected;

·      the quantity;

·      the delivery address;

·      the billing and contact information;

·      any discount applied;

·      the delivery method;

·      the total amount payable.

After an order is submitted, you may receive an automated Order Confirmation.

The Order Confirmation acknowledges that we have received the order. It does not necessarily mean that the order has been accepted.

Payment authorisation or an initial payment capture does not, by itself, constitute acceptance of the order.


8. ORDER ACCEPTANCE AND CONTRACT FORMATION

The contract for a Product is normally formed when:

·      we send a dispatch or shipment confirmation for that Product; or

·      the Product is dispatched,

whichever occurs first, unless mandatory applicable law requires a different result.

If Products from the same order are dispatched separately, a separate contract may be formed for each Product or shipment.

Before acceptance, we may reject or cancel an order for objective reasons including:

·      the Product is unavailable;

·      payment cannot be authorised;

·      the delivery destination is not supported;

·      quantity restrictions have been exceeded;

·      the customer does not satisfy the purchase requirements;

·      an obvious pricing or Product-information error has occurred;

·      fraud or unauthorised payment is reasonably suspected;

·      the order appears intended for unauthorised resale;

·      a promotion has been materially misused;

·      fulfilment would breach applicable law.

Where an order is rejected or cancelled before acceptance, any amount already collected for the affected Products will be released or refunded without undue delay.

An accepted consumer order will not be cancelled arbitrarily.

Cancellation after acceptance will occur only where permitted under the contract, applicable law or circumstances making performance legally or objectively impossible.


9. PRODUCT AVAILABILITY

Products, variants and promotional offers are subject to availability.

Adding a Product to the shopping cart does not reserve it.

In rare cases, a Product may become unavailable after an order is submitted.

Where this occurs, we may:

·      cancel and refund the unavailable Product;

·      dispatch the available Products and refund the unavailable Product;

·      contact you to offer an appropriate alternative.

A materially different substitute Product will not be supplied without your agreement.

Where an order is partially fulfilled, any delivery-charge adjustment will be handled fairly and in accordance with the circumstances of the order and applicable law.


10. PRICES, TAXES AND CURRENCY

The price payable for an order is the price shown at checkout before the order is submitted.

Before purchase, the checkout will display:

·      Product prices;

·      applicable discounts;

·      delivery charges;

·      applicable taxes collected by Dr. Dermaluci Lab;

·      the total amount payable.

Prices may change at any time before an order is submitted.

A later price change does not affect an order that has already been accepted.

Where prices are displayed in a currency different from the currency of your bank account, your bank or payment provider may apply:

·      its own exchange rate;

·      foreign-transaction charges;

·      other processing fees.

These charges are imposed independently and are not controlled by Dr. Dermaluci Lab.

Customs duties, import taxes and destination charges are governed by the Shipping & Delivery Policy.


11. OBVIOUS PRICING OR INFORMATION ERRORS

We may correct an obvious pricing, typographical or technical error before accepting an order.

An error may be considered obvious where a reasonable customer should have recognised that the displayed price or information was materially incorrect.

If an obvious error is identified before acceptance, we may:

·      contact you and offer the opportunity to proceed using the correct information or price; or

·      cancel the affected Product and issue a full refund.

If an error is identified after an order has been accepted, the matter will be handled fairly and in accordance with applicable law.

This section does not permit Dr. Dermaluci Lab to disregard an accepted order merely because a valid price, discount or promotion later becomes commercially inconvenient.


12. PAYMENTS

Available payment methods are displayed at checkout and may vary according to country, currency or device.

By submitting payment information, you confirm that:

·      you are authorised to use the payment method;

·      the information supplied is accurate;

·      the payment is lawful;

·      sufficient funds or credit are available.

Payments may be processed by independent payment-service providers and may be subject to their own terms and privacy notices.

We or our payment providers may carry out reasonable:

·      payment authorisation;

·      identity verification;

·      billing-address verification;

·      fraud-prevention checks;

·      security checks.

An order may be delayed or rejected before acceptance if a required verification cannot be completed.

Where payment-card details are processed directly by an authorised payment provider, Dr. Dermaluci Lab does not receive or store the complete payment-card number.


13. DISCOUNTS AND PROMOTIONS

Promotions may be subject to specific conditions concerning:

·      validity dates;

·      eligible Products;

·      minimum order values;

·      eligible countries or customers;

·      permitted quantities;

·      stock availability;

·      compatibility with other promotions;

·      maximum uses per customer, account, address or household.

Unless expressly stated otherwise:

·      only one promotional code may be used per order;

·      promotions cannot be combined;

·      promotional codes cannot be applied retrospectively;

·      discounts and promotional codes have no cash value;

·      introductory offers are limited to genuinely eligible customers;

·      duplicate accounts may not be created to obtain repeated benefits;

·      expired or previously used promotional codes are not automatically reissued after a cancellation or return.

Where a discounted Product is returned, the refund is calculated using the net amount actually paid and allocated to that Product in the original order.

The difference between the regular price and the discounted price is not refundable.

Discounts, bundle savings and promotional reductions are not converted into cash and are not refunded separately.

Additional promotion-specific conditions will be displayed before purchase where applicable.


14. FREE PRODUCTS AND PROMOTIONAL GIFTS

A Product supplied free of charge:

·      has no individual refundable cash value;

·      cannot be exchanged for cash;

·      does not create a separate refund entitlement.

Unless specific promotional conditions state otherwise, Dr. Dermaluci Lab does not currently require a complimentary promotional gift to be returned and does not deduct an undisclosed gift value from a refund.

This does not prevent a future promotion from having separate conditions, provided those conditions and any relevant gift value are clearly disclosed before purchase.

Free samples and complimentary Products remain subject to applicable Product-safety and conformity requirements.


15. DELIVERY

Delivery is governed by the Shipping & Delivery Policy, which forms part of these Terms.

You are responsible for providing a complete and accurate delivery address, including any necessary:

·      recipient name;

·      building or street number;

·      apartment or unit details;

·      postcode;

·      city;

·      country;

·      telephone number.

Contact Customer Care immediately if you identify an error.

We will make reasonable efforts to amend the delivery information before dispatch but cannot guarantee changes once processing or fulfilment has begun.

Delivery dates are estimates unless expressly stated to be guaranteed.

Where mandatory consumer law establishes a delivery deadline, Products will be delivered within that deadline or within another period expressly agreed with the customer.

For consumer orders, the risk of loss or damage passes when you, or a third party nominated by you other than the carrier, take physical possession of the Products.

Where you independently appoint a carrier that was not offered by Dr. Dermaluci Lab, risk may pass when the Products are handed to that carrier, to the extent permitted by applicable law.

Nothing in this section limits your rights where a Product is lost, damaged or incorrectly delivered before risk has passed to you.


16. ORDER CANCELLATIONS

To request cancellation before dispatch, contact:

We will make reasonable efforts to stop the order, but cancellation cannot be guaranteed once processing, fulfilment or shipping has begun.

If the order has already been dispatched, the applicable return procedure must be followed.

An operational cancellation request made before dispatch is separate from any statutory right of withdrawal available under applicable law.

Where a cancellation is successfully completed before dispatch, any amount collected for the cancelled order will be released or refunded without undue delay.


17. RETURNS, REFUNDS AND THE 70-DAY GUARANTEE

Returns and refunds are governed by the Returns, Refunds & Exchanges Policy, which forms part of these Terms.

That Policy explains:

·      the statutory 14-day right of withdrawal available to eligible consumers;

·      the additional Dr. Dermaluci Lab 70-Day Money-Back Guarantee;

·      return-shipping responsibilities;

·      conditions for opened and used Products;

·      returns involving multiple identical Products or kits;

·      the return of kit components;

·      calculation of refunds after discounts;

·      damaged, defective or incorrect Products;

·      the procedure for obtaining the correct return destination.

Dr. Dermaluci Lab uses several fulfilment and return locations in Europe.

Before sending a return, customers must contact Customer Care to receive the appropriate return address and instructions.

Contacting Customer Care for return-routing instructions does not make the exercise of a statutory withdrawal right dependent upon discretionary approval.

Products must not be returned to:

·      the registered business address;

·      a manufacturing facility;

·      an address printed on a shipping parcel;

·      an address found independently online.

For ordinary change-of-mind returns and returns under the voluntary 70-Day Money-Back Guarantee, the customer bears the return-shipping cost as described in the Returns, Refunds & Exchanges Policy.

Necessary costs relating to defective, damaged, incorrect or non-conforming Products are handled in accordance with applicable law.

The 70-Day Money-Back Guarantee is additional to, and does not replace, mandatory statutory consumer rights.

The commercial guarantee conditions presented at the time of purchase apply to that order. A later policy update will not retroactively reduce a commercial guarantee already granted.

Where an order contains several identical Products or identical kits, only one unit or one complete kit may be opened and evaluated under the voluntary 70-Day Money-Back Guarantee. Additional identical units must remain sealed, unused and complete, except where an additional unit is defective, damaged, incorrect or otherwise non-conforming.


18. DEFECTIVE, DAMAGED OR NON-CONFORMING PRODUCTS

Consumers have mandatory rights where a Product is:

·      defective;

·      unsafe;

·      damaged before risk transfers;

·      materially different from its description;

·      missing a paid component;

·      otherwise non-conforming under applicable law.

Depending on the circumstances and applicable law, available remedies may include:

·      replacement;

·      repair, where appropriate;

·      price reduction;

·      refund;

·      termination of the contract;

·      another legally required remedy.

Contact info@dermalucilab.com as soon as reasonably possible after identifying an issue.

Please retain, where available:

·      the Product;

·      Product packaging;

·      batch or lot information;

·      photographs or video;

·      proof of purchase;

·      any other relevant evidence.

The voluntary 70-Day Money-Back Guarantee does not replace, shorten or restrict the legal guarantee of conformity or any other mandatory remedy.


19. PRODUCT SAFETY AND ADVERSE REACTIONS

If you experience a significant or unexpected reaction:

·      stop using the Product;

·      seek appropriate medical assistance where necessary;

·      contact Customer Care.

Where reasonably available, provide:

·      the Product name;

·      order number;

·      batch or lot number;

·      date and method of use;

·      a description of the reaction;

·      photographs, where appropriate and safe to provide.

An individual sensitivity or intolerance does not automatically mean that a Product is defective.

However, the customer may still have rights under the 70-Day Money-Back Guarantee, applicable consumer law or applicable Product-safety law.

Serious or urgent symptoms should be addressed through an appropriate healthcare or emergency service and not solely through Customer Care.

If a Product-safety recall or corrective action is necessary, affected customers must follow the instructions issued by Dr. Dermaluci Lab, the relevant responsible operator or a competent authority.

Customers will not be charged the necessary costs of complying with a valid Product-safety recall.


20. CUSTOMER ACCOUNTS

Where the Website permits customer accounts, you are responsible for:

·      providing accurate information;

·      keeping login credentials confidential;

·      restricting access to your account and device;

·      promptly updating information that has changed;

·      notifying us of suspected unauthorised access.

You may not:

·      impersonate another person;

·      use false account information;

·      use another person’s account without permission;

·      create duplicate accounts to misuse discounts or promotions;

·      sell or transfer an account.

We may temporarily restrict account access where reasonably necessary to investigate suspected fraud, unauthorised access, a security threat, material promotion abuse or another serious breach of these Terms.

Such a restriction will be proportionate to the circumstances and will not remove mandatory rights connected with a valid order.


21. CUSTOMER REVIEWS AND USER CONTENT

Customers may submit reviews, ratings, photographs, videos or other feedback where this functionality is available.

Submitted content must:

·      reflect a genuine experience or opinion;

·      relate to the relevant Product or service;

·      not contain knowingly false or misleading information;

·      not impersonate another person;

·      not disclose another person’s private information;

·      not infringe intellectual-property, privacy or other rights;

·      not contain threats, harassment, discriminatory content, malware, spam or unlawful advertising.

We may moderate, decline to publish or remove content that objectively breaches these requirements.

We will not remove a review solely because it describes a negative but genuine customer experience.

Where a review is labelled as verified, the label means that the Website, store records or review provider has linked the reviewer to a purchase or has performed the verification represented by the applicable badge.

If a customer received a free Product, discount, payment or another benefit connected with a review, that relationship must be disclosed where required.

No customer is required to provide a positive review in exchange for an incentive.

By submitting original content directly through the Website or an authorised Dr. Dermaluci Lab channel for publication, you grant Galbraith Teck LLC a non-exclusive, worldwide and royalty-free licence to:

·      store and display the content;

·      reproduce it on the Website;

·      resize, crop, translate or format it for presentation;

·      use it in Dr. Dermaluci Lab Product, brand and marketing communications.

You retain ownership of your original content.

You confirm that you own the content or have permission to submit it and that any identifiable person appearing in it has provided the necessary permission.

We will not knowingly edit a review in a way that materially misrepresents the reviewer’s opinion.


22. INTELLECTUAL PROPERTY AND PROHIBITED USE

The Website and its content, including its brand names, trademarks, logos, Product names, photographs, videos, graphics, text, layout, design, code, databases and downloadable materials, are owned by or licensed to Galbraith Teck LLC and are protected by applicable intellectual-property laws.

You may access the Website for personal, lawful and non-commercial purposes.

Without prior written permission, you may not:

·      reproduce or commercially exploit Website content;

·      copy Product photographs or descriptions for resale;

·      use Dr. Dermaluci Lab branding or trademarks;

·      create a website or account that may be confused with Dr. Dermaluci Lab;

·      scrape or systematically extract Website data;

·      frame or mirror the Website;

·      remove copyright or trademark notices;

·      falsely claim affiliation with or endorsement by Dr. Dermaluci Lab;

·      distribute malicious code;

·      interfere with Website security or operation;

·      gain unauthorised access to systems, accounts or data;

·      submit fabricated orders, reviews, refund requests or guarantee claims;

·      test stolen or unauthorised payment credentials;

·      abuse promotional codes, refunds or guarantees;

·      use the Website for unlawful or fraudulent activity.

Website or account access may be suspended or restricted where reasonably necessary to investigate or prevent fraud, unlawful conduct, a material security incident or a serious breach of these Terms.

Any restriction will be proportionate and will not remove mandatory rights relating to an accepted order.


23. PRIVACY, COOKIES AND THIRD-PARTY SERVICES

Personal data is processed in accordance with the Privacy Policy.

Cookies and similar technologies are used in accordance with the Cookie Policy and the customer’s applicable consent choices.

The Website may use third-party providers for services including:

·      payments;

·      hosting;

·      order fulfilment;

·      delivery;

·      customer support;

·      reviews;

·      analytics;

·      marketing;

·      embedded media.

Third-party providers may apply their own terms and privacy notices.

Dr. Dermaluci Lab is not responsible for independent third-party websites or services outside its reasonable control.

However, this does not exclude responsibility where Dr. Dermaluci Lab remains legally responsible for the performance of an obligation delegated to a service provider.

Transactional communications necessary to process an order, provide customer service, manage returns, prevent fraud, provide delivery updates or communicate a Product-safety issue may be sent independently of marketing consent.

Marketing consent may be withdrawn using the unsubscribe mechanism provided or by contacting Customer Care.

Withdrawing marketing consent does not prevent transactional or legally necessary communications.


24. WEBSITE AVAILABILITY, LIABILITY AND EVENTS OUTSIDE OUR CONTROL

We aim to keep the Website accurate, secure and available but do not guarantee uninterrupted access at all times.

Website access may be temporarily restricted because of maintenance, security work, technical faults, updates or circumstances outside our reasonable control.

Website changes will not retroactively:

·      alter an accepted order;

·      reduce a refund already due;

·      remove an accrued statutory right;

·      reduce a commercial guarantee granted at purchase.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law. This includes liability arising from fraud or fraudulent misrepresentation, wilful misconduct or gross negligence where applicable, harm caused by an unsafe or defective Product, breach of mandatory Product-safety obligations, violation of mandatory consumer rights, or any other matter for which liability cannot lawfully be excluded or limited.

For consumer purchases, Dr. Dermaluci Lab is responsible for losses that are a reasonably foreseeable consequence of our breach of contract, failure to exercise reasonable care or another failure for which we are legally responsible.

We are not responsible for losses caused solely by unlawful use of a Product, material failure to follow clear Product instructions or warnings, unauthorised Product alteration, improper storage after delivery or circumstances entirely attributable to the customer.

We are not responsible for delay or failure caused by circumstances outside our reasonable control, such as natural disasters, war, civil unrest, government action, customs interruption, widespread transport disruption, public-health emergencies or widespread telecommunications or power failure.

We will take reasonable steps to minimise the effect of such circumstances.

This section does not excuse a failure that could reasonably have been prevented or remedied. Consumers retain any cancellation, refund or other rights provided by mandatory applicable law where performance is materially delayed or becomes impossible.


25. COMPLAINTS, GOVERNING LAW AND CONSUMER RIGHTS

Complaints should be sent to:

Please include:

·      your full name;

·      your order number, where applicable;

·      a clear description of the issue;

·      your preferred contact details;

·      any relevant supporting information.

We will review complaints in good faith and respond within a reasonable period.

These Terms and any contract concluded through the Website are governed by Italian law.

If you are a Consumer, this choice of law does not deprive you of any mandatory rights or protections granted by the law of the country in which you habitually reside that would apply in the absence of this choice.

Nothing in these Terms requires a Consumer to:

·      waive a mandatory consumer right;

·      accept mandatory arbitration;

·      waive access to a competent court, authority or dispute-resolution body;

·      pursue a claim or remedy exclusively in Italy.

A Consumer may bring a claim before any court or competent authority available under mandatory applicable law.

Nothing in this section limits your right to contact a competent consumer-protection authority, seek assistance from an applicable consumer organisation or use a legally available dispute-resolution procedure.


26. CHANGES, TRANSLATIONS AND SEVERABILITY

We may update these Terms prospectively to reflect:

·      changes in law;

·      changes in business operations;

·      Website functionality;

·      security requirements;

·      payment, delivery or fulfilment processes;

·      clarification of existing provisions.

The updated version will display a revised effective date.

Updated Terms will not retroactively:

·      alter an accepted order;

·      reduce a refund already due;

·      remove an accrued right;

·      reduce a commercial guarantee granted at the time of purchase;

·      impose a new material obligation on a completed transaction.

The version presented or made available when an order is placed will continue to apply to that order, except where a later change benefits the customer or is required by mandatory law.

These Terms may be made available in several languages. We intend each translation to communicate the same substantive terms.

If an inconsistency arises:

·      mandatory applicable law will prevail;

·      the version presented to the customer before checkout will be taken into account;

·      the Terms will not be interpreted in a way that removes mandatory consumer rights.

The English version may be used as a reference for consistency but will not override mandatory protections or legally required information provided in another language.

If any provision is found invalid, unlawful or unenforceable, it will apply only to the maximum extent legally permitted. Where necessary, the invalid portion will be severed and the remaining provisions will continue in effect.

Our failure to enforce a provision immediately does not constitute a permanent waiver of that provision.
